Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and Idanite LLC ("Idanite," "SendProof," "we," "us," or "our") governing your use of SendProof, including our app and website at sendproof.app. By using SendProof, you agree to these Terms.

2. Eligibility

You must be at least 13 years old to use SendProof. If you are between 13 and the age of majority in your jurisdiction, you may use SendProof only with appropriate permission from a parent or legal guardian.

3. Accounts

• You are responsible for providing accurate account information and keeping your login credentials secure.
• You are responsible for activity that occurs under your account.
• You must notify us promptly if you believe your account has been compromised.

4. User content and license

• You retain ownership of content you upload to SendProof, including proof images.
• You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display your content only as needed to operate, improve, and secure SendProof.
• Proof images are automatically deleted once a decision is made.
• We do not use user-uploaded content to train AI or machine learning models.

5. Acceptable use

You agree not to:

• Use SendProof for illegal activity or to violate applicable laws.
• Upload or share fraudulent, deceptive, abusive, harassing, or threatening content.
• Infringe intellectual property, privacy, publicity, or other rights.
• Spam, phish, distribute malware, or interfere with service integrity.
• Attempt unauthorized access, bypass security controls, reverse engineer, or disrupt SendProof systems.

6. Paid features and billing

• SendProof offers monthly, annual, and one-time purchases.
• Subscription purchases auto-renew until canceled.
• Purchases are billed through the Apple App Store or Google Play and managed by their billing systems (with RevenueCat subscription infrastructure).
• You can cancel subscriptions through your Apple App Store or Google Play account settings.
• Refunds are handled according to Apple App Store and Google Play policies. Any additional goodwill refund is at our sole discretion where permitted by law.
• We may update pricing from time to time; where required, we will provide notice before changes take effect.

7. Suspension and termination

We may suspend or terminate access to SendProof if we reasonably believe you violated these Terms, created risk for users or systems, or where required by law. You may stop using SendProof at any time and may request deletion of your account data.

8. Intellectual property

Except for your content, SendProof and its software, designs, branding, text, graphics, and other materials are owned by Idanite LLC or its licensors and are protected by intellectual property laws.

9. Disclaimers

SendProof is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, Idanite LLC and its officers, employees, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities. To the fullest extent permitted by law, our aggregate liability for claims relating to SendProof will not exceed the greater of (a) amounts you paid us in the 12 months before the event giving rise to liability or (b) USD 100.

11. Indemnification

You agree to defend, indemnify, and hold harmless Idanite LLC and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of SendProof, your content, or your violation of these Terms or applicable law.

12. Arbitration agreement and class action waiver

Please read this section carefully. It affects your legal rights.

• Informal resolution first: before filing a claim, you and Idanite will try to resolve disputes informally by contacting contact@sendproof.app.
• Binding arbitration: except where prohibited by law, any dispute arising from or relating to these Terms or SendProof will be resolved by final and binding arbitration, not in court, under the Consumer Arbitration Rules of the American Arbitration Association (AAA).
• No class actions: you and Idanite agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
• Arbitrator authority: the arbitrator may award relief on an individual basis only and may not award class-wide relief.
• Location and format: arbitration may be conducted remotely, unless the arbitrator requires otherwise under applicable rules.
• Opt-out right: you may opt out of this arbitration agreement by emailing contact@sendproof.app within 30 days of first accepting these Terms, with your full name and account email and a clear statement that you opt out of arbitration.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement in Section 12.

14. Changes to these terms

We may modify these Terms from time to time. If we make material changes, we will post the updated Terms with a new "Last updated" date and provide additional notice where required by law. Your continued use of SendProof after changes take effect means you accept the revised Terms.
